1) Acceptance​

By creating an account, accessing or using the Services, you accept these Terms. If you use the Services on behalf of an entity, you represent that you are authorized to bind that entity.

2) Eligibility​

You must be 18 years or older, or have parental/guardian consent where required by law.

3) Account & Security​

You are responsible for your account and credentials, and for all activities under it. Notify us promptly of any unauthorized use. We may require verification steps to protect your account.

4) Your Content & License​

You retain ownership of your content. You grant us a limited, worldwide, non-exclusive, non-sublicensable, revocable license to host, process, transmit, and display your content solely to provide, maintain, and improve the Services and to comply with law.

5) Acceptable Use​

You agree not to:

  • violate law or third-party rights, or upload unlawful/infringing content;
  • disrupt the Services, introduce malware, or bypass security;
  • scrape, bulk extract, or reverse-engineer (except as permitted by OSS licenses or law);
  • impersonate others;
  • use the Services for high-risk activities.

We may suspend or terminate accounts for violations.

6) Third-Party Services​

  • Payments: Stripe
  • Transactional Email: Mailgun
  • Newsletters/Marketing: Mailchimp (opt-in, unsubscribe link in each message)
  • Analytics/Monitoring: Google Analytics, Sentry

Their terms and policies apply; we remain responsible for providing our Services.

7) Plans, Pricing, Taxes​

Free and paid plans may exist. Prices and features are shown at purchase and may change prospectively with notice.
For consumers, prices include VAT where required; for businesses, they may be exclusive of VAT.
Subscriptions may auto-renew (as shown at purchase). You may cancel online at any time before renewal.
Non-payment may result in suspension.

8) Trials, Betas & Pre-releases​

Trials or beta features are provided “as is” and may be modified or withdrawn at any time. Use at your own risk.

9) Availability & Changes​

We target high availability but do not guarantee uninterrupted operation. We may modify or discontinue features with reasonable notice where feasible.

10) Intellectual Property​

The Services (software, trademarks, logos, content) are owned by us or our licensors. You are granted only a limited, non-exclusive, non-transferable right to use during the contract term.

11) Feedback​

If you submit ideas or suggestions, you grant us a worldwide, royalty-free, perpetual, irrevocable, transferable license to use them without obligation.

12) Termination & Data Portability​

You may stop using the Services or request deletion at any time. We may suspend or terminate for breach, legal risk, or protection of the Services.

Data Portability: upon termination, you may export your data for 30 days. After that, we delete or anonymize remaining data within 90 days, unless retention is legally required.

13) Personal Data & Privacy​

We act as data controller under Swiss LPD and, where applicable, the GDPR.
Details on purposes, legal bases, recipients (Stripe, Mailgun, Mailchimp, Google Analytics, Sentry), international transfers (with safeguards), retention, security measures, and user rights are in our Privacy Policy.

When processing data on behalf of a client (B2B), the DPA applies and forms part of the contract.

14) Warranties & Disclaimers​

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
To the extent permitted by law, we provide no warranties, express or implied, including fitness for a particular purpose or error-free operation.

15) Limitation of Liability​

Our total liability over any 12-month period is limited to the greater of (a) CHF 100 or (b) the amounts you paid for the Services in that period.
We are not liable for indirect, special, consequential, or punitive damages.
Nothing in this clause excludes or limits liability for fraud or gross negligence, or where such limitation is unlawful.

16) Indemnity​

You will indemnify us (and our personnel) against any third-party claims resulting from your unlawful use of the Services or breach of these Terms.

17) Export & Sanctions​

You must comply with applicable export-control and sanctions laws and not use the Services where prohibited.

18) Force Majeure​

We are not responsible for delays or failures due to events beyond reasonable control (disasters, outages, conflicts, strikes, or government actions).

19) Governing Law & Venue​

These Terms are governed by Swiss law, excluding conflict-of-law rules.
Exclusive venue: courts of Neuchâtel, Switzerland.
For consumers, mandatory consumer protections of their residence that are more favorable remain applicable.

20) Right of Withdrawal (EU Consumers)​

EU consumers have a 14-day withdrawal right from the date of contract conclusion, unless the service begins immediately after your explicit consent.

21) Changes to These Terms​

We may update these Terms. For material changes, we will notify you (by email or in-app). Continued use after the effective date constitutes acceptance.

22) Amicable Resolution (EU)​

If you are an EU consumer, you may use a national Alternative Dispute Resolution (ADR) body.

23) Miscellaneous​

  • Severability: if any clause is invalid, the remainder remains effective.
  • Assignment: you may not assign without prior written consent; we may assign as part of a reorganization or transfer.
  • No waiver: failure to enforce is not a waiver.
  • Entire agreement: these Terms and linked policies constitute the full agreement.
  • Language: in case of discrepancies, the French version prevails.
